You got the counterparty's contract, you can't afford a lawyer for every draft, and the trap that bankrupts you is one clause buried in legalese. This Skill reads it the way a wary lawyer would — and tells you exactly what to send back.

What it does

Most "contract review" tools stop at flagging risk: they highlight a clause and say "this looks risky." That leaves you exactly where you started — knowing something is wrong but not what to do about it. The work that actually protects you is the next step: rewriting the clause and knowing how to ask for the change.

Paste or upload a contract (freelance/services agreement, NDA, SaaS terms, or lease) and it produces a full risk screen: the contract type and which side you're on, a 0–100 risk score, a clause-by-clause red-flag list in plain language, paste-ready redline rewrites for every unfavorable clause, and a negotiation script that tells you what to hold firm on and what to trade. It runs entirely in the sandbox — no paid API, no sending your contract to a third party.

How it works

Phase Output
1. Parse Extract text (PDF or pasted); refuse to guess on scanned/image-only PDFs — no text, no report
2. Classify Detect contract type and your stance (contractor/client, tenant/landlord, receiving/disclosing)
3. Scan Clause-by-clause match against the red-flag rule library; record category, severity, and the source snippet
4. Score Weighted 0–100 risk score with a soft cap so severe contracts stay distinguishable, plus a grade
5. Redline Paste-ready rewrite for every high/medium clause unfavorable to you, each with a one-line "why"
6. Negotiate A talking-points script: must-haves vs. nice-to-haves, in polite-but-firm language
7. Jurisdiction & escalation US/Taiwan-specific reminders; mandatory "have an attorney review" steer on high-risk contracts

⭐ Featured example — a one-sided freelance contract

Input: "A client sent me this design services agreement — is there anything I should worry about before I sign?"

Output: the Skill classifies it as an Independent Contractor / Services Agreement (Taiwan), pegs the user as the contractor, and scores it 100/100 — SEVERE, with a clause-by-clause red-flag list ordered by severity and a mandatory attorney-review steer (uncapped indemnification was hit):

It doesn't stop at flagging. For every unfavorable clause it hands you a paste-ready redline and the script to send it with — what to hold firm on, what to trade:

Every report opens and closes with a bilingual legal disclaimer, never gives a binary "sign / don't sign" verdict, and steers high-risk or out-of-scope contracts to a licensed attorney — by design, not as an afterthought.

Why it's different

  • It doesn't just flag — it fixes. Most screeners say "this clause is risky" and leave you stuck. This one gives you the exact paste-ready replacement language and the negotiation script to send it with. That next step is the product.
  • Two jurisdictions, bilingual redlines. Built for both general U.S. commercial contracts and common Taiwan contracts, with rewrite language in English and Chinese — the gap that lawyer-facing tools (Spellbook, goHeather) priced for firms leave wide open for freelancers and SMBs.
  • A real scoring model, not a vibe. A weighted 0–100 score with a soft cap above 90 so a catastrophic contract and a merely-bad one don't both flatten to 100 — you can tell how bad it actually is.
  • Compliance-first guardrails. A mandatory three-layer disclaimer, no binary verdicts, a refusal to fabricate clauses on scanned PDFs, and an enforced attorney-review steer on high-risk, high-value, or out-of-scope contracts.

Disclaimer

This tool provides general information and a preliminary risk screen only. It is NOT legal advice and does not create an attorney-client relationship. For high-value, long-term, or any contract you have doubts about, consult a licensed attorney in your jurisdiction before signing.

Scope is focused on general U.S. commercial contracts and common Taiwan contracts; other jurisdictions (EU, mainland China, UK) get general reminders only. The screen reflects detected, known traps — nothing detected does not mean no risk. This Skill is a sign-it-with-confidence checkup, not a replacement for an attorney's review of the final draft.
