Section 1. Acceptance of Terms

By creating a Capafy account, clicking "I agree," or otherwise accessing or using the Capafy Platform, you agree to be legally bound by these Terms of Service ("Terms"), our Privacy Policy, and any additional policies we publish. If you do not agree, do not access or use the Platform.

If you are accepting on behalf of a company or other entity, you represent that you have full authority to bind that entity.

Section 2. Definitions

"Capafy Platform" or "Platform" means the AI Agent marketplace operated by CAPAFY PTE. LTD., accessible at capafy.ai via web browser or command-line interface (CLI), including the marketplace interface, account portal, Capafy Cloud Runtime, and related services.

"We" or "Capafy" means CAPAFY PTE. LTD. and its affiliates.

"You" means the individual or entity accessing or using the Capafy Platform.

"Skill" means the underlying AI implementation — including prompts, code, scripts, and configurations — developed by a Publisher and submitted for distribution on the Platform.

"Agent" means the published AI product available on the Capafy Platform, powered by a Publisher's underlying Skill. This is what you discover, subscribe to, and run on the Platform.

"Publisher" means a third-party individual or entity that has published an Agent on the Platform under a separate Publisher Agreement with us.

"Subscription" means a recurring paid cloud-based access model (daily, weekly, monthly, or other agreed cycle) under which you pay for ongoing access to an Agent, with automatic renewal at the end of each billing period unless cancelled.

"Hourly" means a non-auto-renewing paid cloud-based access model under which you pay upfront for a fixed duration of access to an Agent. Access ends when the purchased duration expires; no further charge applies unless you choose to extend.

"Download" means a one-time access grant to a downloadable Skill Package for local use in your own Agent Client. Download access may be offered free of charge or for a one-time payment, as set by the Publisher. Upon completing a Download, the full Skill Package — including all source files — is delivered to you.

"Skill Package" means the set of Skill files — including SKILL.md, scripts, references, and assets — delivered to you under the Download model. All source files are visible to you upon purchase.

"Agent Client" means your locally installed software environment in which you can run downloaded Download Skill Packages.

"Capafy Cloud Runtime" means the Capafy platform-side execution environment in which Agents run when you choose cloud-based access.

"User Content" means any text, data, files, or other materials you submit to the Platform as inputs when using an Agent.

"Agent Output" means any content, data, or results generated by an Agent in response to your inputs.

Section 3. Account Registration & Security

3.1 Eligibility

You must be at least 18 years of age (or the age of majority in your jurisdiction, if higher) to create an account. By registering, you confirm you meet this requirement.

3.2 Accurate Information

Provide accurate, current, and complete information when you register, and keep it up to date. We may suspend accounts based on false or misleading registration information.

3.3 Your Responsibility for Account Security

You are responsible for keeping your credentials secure and for all activity that occurs under your account. Please:

  • Use a strong, unique password;
  • Never share your login credentials with anyone;
  • Notify us immediately at [email protected] if you suspect unauthorized access.

We are not liable for loss or damage arising from your failure to keep your account secure.

3.4 One Account

You may not maintain more than one account without our prior written consent. Accounts created to circumvent a previous suspension or termination are not permitted.

3.5 Service Availability by Region

The Capafy Platform is not available in every country or region. Due to legal, regulatory, sanctions, and policy considerations, we make the Platform available — for account registration, Agent discovery and purchase, and use of any cloud or downloadable access model — only to users located in, ordinarily resident in, or accessing the Platform from the jurisdictions listed in Schedule C (Supported Countries and Regions) of these Terms.

We may decline registration, suspend an account, refuse an order, or void a completed transaction where we determine that you are located in, ordinarily resident in, or accessing the Platform from a jurisdiction not listed in Schedule C. We may update Schedule C from time to time to reflect changes in applicable law, sanctions, or our operational footprint. Changes to Schedule C will be announced in accordance with Section 15; where a change is required by law or sanctions and immediate effect is necessary, we may apply it without advance notice. Use of any technical means — including VPNs, proxies, or falsified registration information — to circumvent the restrictions in this Section is a breach of these Terms and may result in account termination under Section 14.

Section 4. Description of Service

4.1 We Are a Marketplace

Capafy is an AI Agent marketplace and cloud execution platform. The Agents available here are created, provided and maintained by independent Publishers — not by us. We review each Skill before it goes live as an Agent and host and execute cloud-based Agents in our cloud infrastructure, but we do not author, control, or take ongoing responsibility for any Agent's content, outputs, or performance.

4.2 How Skills Reach You

Publishers develop their Skills independently using their own tools, then submit them through our publishing process. The Publisher identified on an Agent listing is the seller and provider of that Agent to you and, for a Download Skill Package, the licensor of that Skill Package. Capafy operates the marketplace and cloud-runtime infrastructure and, as the Publisher's commercial agent, concludes your purchase in the Publisher's name and collects your payment. Capafy acts solely for the Publisher. Capafy is not your agent and does not act on your behalf in any purchase. Your valid payment to Capafy discharges your payment obligation to the Publisher in full for the relevant purchase.

  • We do not control the underlying logic or behavior of individual Agents;
  • We do not verify the accuracy of Agent outputs;
  • Except as expressly stated in these Terms, Capafy does not purchase, resell or license a Publisher's Agent or Skill Package to you.

4.3 Service Availability

We do not guarantee uninterrupted or error-free access to the Platform. We may modify, suspend, or discontinue features at any time, with notice where practical.

Section 5. Payments, Subscriptions & Refunds

5.1 Pricing

Base prices on the Platform are in US$ (United States Dollars). Applicable taxes may be calculated or added at checkout depending on your location and applicable law. Any applicable tax and the total amount payable will be shown before you complete the purchase. Where available, prices may be displayed and charged in your local currency at the exchange rate shown at checkout.

5.2 Subscriptions

Auto-Renewal Notice: Subscriptions renew automatically. At the end of each billing period, you will be charged the then-current price to your payment method on file unless you cancel at least 24 hours before the next renewal date. You can cancel at any time through your account settings — cancellation takes effect at the end of your current paid period and no further charges apply.

If you purchase a Subscription:

  • Your Subscription starts on the date of confirmed payment and renews automatically at the end of each billing period unless cancelled.
  • Cancel at least 24 hours before the next renewal date to avoid being charged for the next period. You can cancel in your account settings.
  • Access continues until the end of your current paid period after cancellation; no further charges apply.
  • Refunds — within the Dispute Window: You may submit a refund request for a Subscription payment within the 7-day Dispute Window described in §5.10, which begins at the moment that payment is successfully completed. Requests submitted within the Dispute Window are handled under §5.10.
  • Refunds — outside the Dispute Window: Once the Dispute Window for a given Subscription payment has closed, that payment is final and no refund will be issued, subject only to (i) the refund described under “Refunds — Publisher banned for misconduct” in this Section 5.2, and (ii) any mandatory statutory rights in your jurisdiction (including the EU/EEA and UK cooling-off rights described in Schedule B.1) that cannot be excluded by contract.
  • Refunds — Agent removed: Removal of an Agent from the Platform — whether by the Publisher's choice or by our enforcement action — does not, by itself, create new refund rights for payments whose Dispute Window has already closed. Your access normally continues until the end of your current paid period; no further charges apply after that. However, if Capafy applies an immediate restriction or removal, existing access will be suspended or ended immediately where the Agent generates Harmful Outputs posing a credible risk to Users or the public, involves illegal activity or a safety-category breach, has a security vulnerability, is subject to a facially valid intellectual-property infringement notice pending review, is required to be removed by a regulatory authority, court, law- enforcement body, payment network or payment-service provider, materially misrepresents its functionality in a way that harms Users, or is reasonably suspected of breaching Capafy's restrictions on identity impersonation or synthetic biometric content. In that case, a refund will be provided where required by applicable law, a payment network or a payment-service provider. If an Agent is later re-listed after removal, your prior Subscription is not automatically reinstated; you must purchase a new Subscription if you wish to continue access.
  • Refunds — Publisher banned for misconduct: If a Publisher's account is permanently terminated due to misconduct — including unauthorized collection of sensitive user data or deliberate propagation of harmful misinformation — Capafy will, under its own platform assurance policy, issue you a full refund of your most recent payment for the affected Agent, whether the transaction was a Subscription, Hourly or Download transaction, regardless of whether the Dispute Window for that payment has closed. This refund is made by Capafy from its own funds and does not affect any mandatory right you may have under applicable law.

5.2A Hourly Access

Hourly access starts immediately when payment for the relevant Hourly order is successfully completed and expires automatically when the purchased duration ends. Hourly access does not renew automatically and is available only for paid orders.

  • If the relevant Agent listing permits it, you may purchase a new Hourly access period; each such purchase is a separate order and begins on its own successful payment.
  • Unless expressly stated at checkout, Hourly access cannot be paused, transferred, or carried forward to a later period.
  • If an Hourly Agent is removed, no new Hourly purchases may be made. The consequences for any active access period, including any immediate removal required for the reasons stated in Section 5.2, are governed by that Section.
  • Refund requests for Hourly orders are governed by Sections 5.9 and 5.10.

5.3 Download

Under the Download model, you receive a one-time access grant to download a Skill Package for local use in your own Agent Client. Upon completing a Download, the full Skill Package — including all source files — is delivered to you. You receive free access to all subsequently published versions of the same Skill Package.

Free and paid Downloads: Download access may be free or require a one-time payment, at the Publisher's discretion. No recurring charges apply under the Download model.

Refunds — within the Dispute Window: You may submit a refund request for a paid Download within the 7-day Dispute Window described in §5.10, which begins at the moment your payment is successfully completed. Requests submitted within the Dispute Window are handled under §5.10.

Refunds — outside the Dispute Window: Once the Dispute Window for a paid Download has closed, the transaction is final and no refund will be issued, subject only to (i) a Publisher misconduct termination as described in §5.2 (which entitles you to a full refund of your most recent payment regardless of the Dispute Window), and (ii) any mandatory statutory rights in your jurisdiction — including cooling-off rights for consumers in the EU/EEA and UK described in Schedule B.1 — that cannot be excluded by contract.

If a Download Agent is removed from the Platform after your Download, your licence to use the delivered Skill Package normally continues under the applicable end-user licence, but we are not obligated to provide further updates. That licence ends immediately if removal is required because of illegal activity, a safety or security issue, a breach of Capafy's restrictions on identity impersonation or synthetic biometric content, a substantiated infringement claim, or a regulatory, court, law-enforcement, payment-network or payment-service-provider requirement. In that case you must stop using and delete all reasonably accessible copies of the Skill Package, and a refund will be provided where required by applicable law, a payment network or a payment-service provider.

5.4 Price Changes

We will give at least 30 days' advance notice of any price increase for active Subscriptions before the change takes effect. Continued use after the effective date constitutes acceptance.

5.5 Payment Processing

Payments are processed by our approved payment processors. By submitting payment information, you authorize Capafy, as the Publisher's commercial agent, to collect the total amount shown at checkout through your selected method for the relevant purchase. Capafy does not hold your funds on your behalf. Where applicable law requires Capafy to act in another capacity for a tax or payment-processing purpose, Capafy does so for that purpose only. We do not store full payment card details.

5.6 Failed Payments

If a payment fails, we may suspend your access to paid Agents until payment is successful. We may retry the charge and will notify you by email.

5.7 Chargebacks

The refund-request process and 7-day Dispute Window in these Terms govern requests made through the Platform. They do not limit any Chargeback that you initiate through your card issuer, bank or payment provider under applicable payment-network rules. If you initiate a Chargeback, reversal or other external payment dispute, we may suspend your account or affected access pending review and may provide relevant transaction and usage information to the payment provider as reasonably necessary to respond.

5.8 Credits

Credits are a pre-paid balance issued by Capafy for use only on the Platform to pay for Agent Subscriptions, Hourly purchases, Download purchases and request packs on the Platform. Capafy is the seller of Credits. Credits are issued and redeemed by Capafy on its own account.

  • Nature of Credits: Credits are not legal currency, not a bank deposit, and have no cash value outside the Platform. Your Credits balance is displayed as "Credits: USD X.XX" — this indicates purchasing power within the Platform and does not constitute a US dollar deposit or create any banking relationship.
  • Non-refundable: Credits purchases are final. Purchased Credits cannot be redeemed for cash, except as required by applicable law.
  • Non-transferable: Credits are tied to your account and may not be sold, gifted, or transferred to any other account.
  • No cash redemption: Credits cannot be converted to fiat currency or withdrawn.
  • Expiration: Credits are subject to any expiration terms disclosed at the time of purchase. We will provide reasonable advance notice before any expiration policy takes effect on an existing balance.
  • Platform discontinuation: If we permanently discontinue the Platform, we will provide reasonable notice and handle any unused Credits balance in accordance with applicable law.
  • Account termination: If your account is terminated by us for breach of these Terms, any remaining Credits balance is forfeited and will not be refunded.

Credits used to complete a purchase are deducted from your balance at the time of the transaction.

5.9 Refund Policy

The following table summarizes the general refund rule for each purchase type. The same underlying rule applies to all paid order types — Subscription, hourly, and Download: refund requests may be submitted within the 7-day Dispute Window starting at successful payment (§5.10); after the Dispute Window closes, the payment is final. Special circumstances — including Publisher misconduct terminations (§5.2), mandatory statutory rights, and platform-initiated terminations (§14.4) — are governed by the provisions in those specific sections.

Purchase Type General Refund Rule
Subscription Refund request may be submitted within the 7-day Dispute Window starting at successful payment. After the Dispute Window closes, the payment is final, except for Publisher misconduct (§5.2) or mandatory statutory rights. Agent removal alone does not create new refund rights outside the window; access continues until the end of the current paid period. Access may end immediately, and a refund may be required, in the circumstances stated in §5.2.
hourly Refund request may be submitted within the 7-day Dispute Window starting at successful payment. After the Dispute Window closes, the payment is final, except for Publisher misconduct (§5.2) or mandatory statutory rights. A Chargeback is addressed under §5.7.
Download Refund request may be submitted within the 7-day Dispute Window starting at successful payment. After the Dispute Window closes, the payment is final, except for Publisher misconduct (§5.2) or mandatory statutory rights. The Download licence may also end in the circumstances stated in §5.3.
Credits Non-refundable upon purchase.

Refund amount: Where a refund is issued under these Terms, Capafy, acting as the Publisher's agent, may issue a full or partial refund of the eligible transaction amount under the refund rules the Publisher has authorised, or as required or permitted by applicable law, a payment network, or a payment-service provider.

Refund method: If you originally paid by credit or debit card, the refund will be issued to that card. If you originally paid using Credits, the refund will be returned as Credits to your account balance.

Refunds and cancellation are independent: Requesting a refund does not automatically cancel your Subscription, and cancelling your Subscription does not automatically trigger a refund. These are separate actions you must take independently if both apply.

5.10 Dispute Window for Refund Requests

A Dispute Window is the period during which you may raise a refund request or transaction dispute with us in respect of a particular order. For every paid order type on the Platform — Subscription, Hourly, and Download — the Dispute Window is seven (7) days and begins at the moment your payment for that order is successfully completed.

Within the Dispute Window: You may submit a refund request for the order. Capafy reviews and decides your request as the Publisher's agent, applying the refund rules the Publisher has authorised. The Publisher may be asked to respond through the Publisher Console in accordance with the Publisher Agreement. A request submitted within the Dispute Window may be granted in full, granted in part, or declined.

Outside the Dispute Window: Once the Dispute Window has closed, the transaction is final and we will not issue a refund, except where:

  • the affected Publisher's account is permanently terminated for misconduct, in which case §5.2 entitles you to a full refund of your most recent payment for that Agent regardless of the Dispute Window; or
  • a mandatory statutory right in your jurisdiction — including cooling-off rights for consumers in the EU/EEA and UK described in Schedule B.1 — requires a refund and cannot be excluded by contract; or
  • we terminate your account without cause and §14.4 entitles you to a pro-rated refund for your unused paid period; or
  • a refund is required because immediate removal of an Agent or termination of a Download licence is required under §5.2 or §5.3.

The 7-day Dispute Window is the default refund window for all paid order types and replaces any narrower refund rule that may otherwise be inferred from §5.2, §5.3, or §5.9. It does not limit a Chargeback under §5.7.

Section 6. Your Conduct on the Platform

6.1 General

Use the Platform only for lawful purposes and in accordance with these Terms and our Acceptable Use Policy (Schedule A).

6.2 What You Must Not Do

Illegal or harmful activity

  • Violate any applicable law or regulation;
  • Facilitate, plan, or promote violence, terrorism, or serious harm to any person;
  • Harass, threaten, stalk, or abuse any individual;
  • Engage in or facilitate fraud, money laundering, or identity theft.

Intellectual property

  • Infringe the copyright, trademark, patent, trade secret, or other intellectual property rights of any third party;
  • Use Agent Outputs in a way that violates the licensing terms on the Agent listing.

Platform integrity

  • Reverse-engineer, decompile, or attempt to extract the underlying logic, prompts, models, or code of any cloud-hosted Agent. For a Download Skill Package, you may view the files delivered to you, but may not modify, redistribute, resell, or republish the Skill Package except as expressly permitted by the applicable end-user licence;
  • Scrape, harvest, or systematically collect data from the Platform beyond normal use;
  • Use automated tools, bots, or scripts to access the Platform without our prior written permission;
  • Circumvent any access controls, rate limits, or security mechanisms;
  • Create fake accounts, manipulate reviews or ratings, or engage in any other deceptive practice.

Competitive misuse

  • Use Platform data or Agent Outputs to develop, train, or improve any AI model or service that directly competes with the Capafy Platform;
  • Use the Platform to promote or redirect users to a competing agent marketplace.

Prohibited content

  • Submit User Content that is unlawful, defamatory, or that infringes third-party rights;
  • Submit inputs designed to elicit Harmful Outputs, including attempts to manipulate Agent behavior beyond its intended function;
  • Generate or distribute content that sexually exploits minors or constitutes child sexual abuse material.

6.3 Consequences of Violations

Our response is proportionate to the nature and severity of the issue:

  • Minor or first-time issues: We may remove specific content or restrict access to an Agent and let you know what happened.
  • Repeated or significant violations: We may temporarily suspend your account while we review the situation.
  • Serious violations (fraud, abuse, illegal conduct, harm to others): We may permanently terminate your account without prior notice and, where required, refer the matter to relevant authorities.

Section 7. Your Content & Intellectual Property

7.1 You Own Your Content

You retain all intellectual property rights in your User Content. We do not claim ownership of anything you submit as inputs to Skills.

7.2 License to Us

By submitting User Content, you grant us a limited, worldwide, non-exclusive, royalty-free license to process, transmit, and store it solely to the extent necessary to provide the services you've requested — including running Skills and delivering Agent Outputs to you.

7.3 Model Training

By default, we do not use your User Content or Agent Outputs to train or fine-tune AI models without your explicit consent. If we ever introduce a model improvement program involving user data, we will notify you and offer a clear opt-in before any such use begins.

7.4 Agent Outputs

Subject to the licensing terms set by each Agent's Publisher (disclosed on the Agent listing), Agent Outputs generated from your inputs are generally yours to use for personal or business purposes. Keep in mind:

  • We make no warranty that Agent Outputs are original, non-infringing, or suitable for any purpose;
  • Some Agents may impose additional restrictions on commercial use — check the Agent listing;
  • You are responsible for ensuring your use of Agent Outputs complies with applicable laws and third-party rights.

7.5 Our Intellectual Property

All intellectual property in the Capafy Platform — its interface, design, infrastructure, the "Capafy" brand, trademarks, and documentation — belongs to us. Nothing in these Terms gives you any ownership interest in the Platform or our intellectual property.

7.6 Feedback

If you share ideas or suggestions about the Platform ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate that Feedback without obligation to you.

7.7 Reviews and Ratings

You may submit reviews and star ratings for Agents you have purchased or actively used. By submitting a review, you grant us a worldwide, royalty-free license to display and moderate it on the Platform.

Eligibility: Only Users with a verified purchase of the relevant Agent may submit a review.

Content standards: Your review must reflect your genuine, first-hand experience with the Agent. Reviews must not:

  • Be fake, incentivized, or submitted on behalf of another party;
  • Contain personal attacks, harassment, or discriminatory language;
  • Include other people's personal information;
  • Promote external services, contain advertising, or solicit off-platform contact;
  • Violate Schedule A.

Our moderation rights: We may remove or decline to display reviews that violate these standards, without prior notice. We are not required to display all submitted reviews.

Prohibited conduct: Soliciting, purchasing, or organizing reviews — whether positive reviews of your own use or coordinated negative reviews — is prohibited and subject to account action under Section 6.3.

We respond to valid copyright infringement claims in accordance with the U.S. Digital Millennium Copyright Act (DMCA) and equivalent legislation in other jurisdictions.

To submit a takedown notice, send a written request to [email protected] that includes:

  1. Identification of the copyrighted work you claim has been infringed;
  2. Identification of the material on the Platform you believe is infringing, with sufficient detail for us to locate it;
  3. Your name, address, telephone number, and email address;
  4. A statement that you have a good faith belief that the use is not authorized by the copyright owner, its agent, or the law;
  5. A statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or are authorized to act on the copyright owner's behalf;
  6. Your physical or electronic signature.

Counter-notice: If you believe material was removed as a result of a mistake or misidentification, you may send a written counter-notice to [email protected]. We will forward valid counter-notices to the original complainant. If no court action is initiated within the applicable statutory period, we may restore the removed material at our discretion.

Repeat infringers: Accounts identified as repeat copyright infringers will be terminated.

Section 8. AI-Specific Disclosures

8.1 Agents Are Built by Publishers

Every Agent on the Platform was created by an independent Publisher. We review each Publisher's Skill before it goes live as an Agent, but we do not control, author, or take responsibility for any Agent's behavior, accuracy, or outputs. Using an Agent means engaging with the Publisher's work — not ours.

8.2 AI Has Real Limitations

Please keep these in mind whenever you use an Agent:

  • Hallucinations: AI models can generate information that sounds plausible but is factually wrong, outdated, or entirely fabricated;
  • Inconsistency: Similar inputs may produce different outputs in different sessions;
  • Bias: Outputs may reflect biases from a model's training data;
  • Updates: Agent behavior may change as underlying models are updated.

Always verify Agent Outputs independently before relying on them for decisions that matter.

8.3 Agent Outputs Are Not Professional Advice

Nothing an Agent generates is a substitute for professional judgment. Skills published in regulated domains are provided by independent third-party Publishers, and their AI-generated outputs are for informational and educational purposes only. Capafy is a marketplace platform and is not a registered investment adviser, a law firm, a healthcare provider, or a tax preparer, and does not provide professional services in any regulated domain. Specifically:

  • - Financial: Outputs from Skills in financial categories — including but not limited to financial analysis, trading analysis, and investment research — do not constitute investment advice, financial advice, or a recommendation to buy or sell any security. Consult a licensed financial advisor before making investment decisions.
  • - Legal: Outputs from Skills in legal categories do not constitute legal advice and do not create an attorney-client relationship. Consult a licensed attorney before taking or refraining from any action.
  • - Medical: Outputs from Skills in medical or health categories do not constitute medical advice, diagnosis, or treatment. Consult a qualified healthcare professional before making health-related decisions.
  • - Tax: Outputs from Skills in tax categories do not constitute tax advice. Consult a qualified tax professional before making tax-related decisions or filings.
  • - Other regulated areas: Skills in any other regulated domain are for informational purposes only. Consult a qualified professional in the relevant field before relying on any Agent Output.

8.4 Agent Availability May Change

Agents are maintained by their respective Publishers. We do not guarantee that any Agent will remain available. A Publisher may remove or discontinue an Agent in accordance with their Publisher Agreement with us.

8.5 Subscription and Hourly Agent Source Files

Under the Subscription and Hourly models, Agent source files remain on our infrastructure and are never actively delivered to you. Your access is through the Capafy Cloud Runtime only; you do not receive and cannot view the Publisher's underlying Skill files.

We are not liable for any incidental exposure of Agent source file content that may occur through your interactions with the Agent. Any Agent content obtained through unauthorized means remains the Publisher's intellectual property, and using it without authorization is a violation of these Terms.

Section 9. Third-Party Agents & Services

9.1 Publisher Responsibility

Agents are independent third-party products provided by their named Publishers. The Publisher is responsible for Agent-specific functionality, listing accuracy and support. Capafy is responsible only for the Platform services it expressly provides. We:

  • Do not endorse any Agent or Publisher;
  • Are not responsible for the quality, accuracy, safety, or legality of any Agent or its outputs;
  • Do not guarantee that any Agent complies with the laws of your jurisdiction.

9.2 Third-Party Integrations

Some Agents may connect to external services or APIs operated by parties other than the Publisher or us. Your use of those services is governed by their own terms. We are not responsible for the availability or conduct of any third-party service.

9.3 Reporting

If you encounter an Agent you believe violates these Terms, applicable law, or the rights of any person, you may report it through the "Report" entry located at the bottom of that Agent's listing page (Agent Card). If for any reason the in-product report entry is unavailable to you, you may instead send your report to [email protected].

We will review each report we receive. Once our review concludes, we will notify you of the outcome — including whether the reported Agent has been removed, modified, or left unchanged — by email to the address registered to your Capafy account. We may decline to act on reports that are duplicative, manifestly unfounded, or submitted in bad faith, and we may consolidate notifications where the same Agent is the subject of multiple reports.

Section 10. Privacy

Your use of the Capafy Platform is subject to our Privacy Policy. Key points:

  • We collect account information, usage data, and payment information as described in the Privacy Policy.
  • When you use an Agent that uses an external LLM provider or other external service, relevant User Content may be processed by Capafy to host and execute the Agent and to route requests and responses through Capafy's relay infrastructure, and may be transmitted to those services as disclosed on the Agent listing.
  • We do not sell your personal information to third parties.
  • You have the right to access, correct, delete, and port your personal data under applicable law. Contact [email protected] to exercise these rights.
  • For users in the EEA, UK, or Switzerland: we are the data controller for personal data processed through your account. Skill-specific data processing is governed by the relevant Publisher's privacy terms.

Section 11. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE CAPAFY PLATFORM AND ALL SKILLS, OUTPUTS, AND RELATED SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. WE EXPRESSLY DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Platform will be uninterrupted or error-free, that Agent Outputs will be accurate or complete, or that any Agent will be suitable for your particular use.

Your use of the Platform and any Agent is at your own risk.

Section 12. Limitation of Liability

12.1 Consequential Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR THE COST OF SUBSTITUTE SERVICES — EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12.2 Aggregate Cap

OUR TOTAL AGGREGATE LIABILITY TO YOU ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID THROUGH THE PLATFORM IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) US$ 100.

12.3 Exceptions

These limitations do not apply to liability arising from our fraud or willful misconduct, or to any liability that cannot be excluded or limited under applicable law, including mandatory consumer protection rights in your jurisdiction.

Section 13. Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless us and our affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Platform or any Agent;
  • Your violation of these Terms or applicable law;
  • Your User Content infringing or allegedly infringing third-party intellectual property rights;
  • Any activity under your account.

Section 14. Service Changes & Termination

14.1 Platform Changes

We may modify, update, or discontinue any feature at any time. For changes that materially affect paid services, we will provide reasonable advance notice.

14.2 Termination by You

You may close your account at any time through your account settings or by contacting [email protected]. Closing your account does not entitle you to a refund of fees already paid, except as provided in Section 5.

14.3 Termination by Us

We may suspend or terminate your access:

  • Immediately, if you engage in fraud, illegal conduct, or conduct that poses a security or safety risk to the Platform or other users;
  • With notice, for other violations of these Terms, giving you a reasonable opportunity to address the issue before termination.

14.4 After Termination

When your account closes:

  • Your access to the Platform and cloud-based Agents ends;
  • A licence for a completed Download normally survives in accordance with the applicable end-user licence, but may end in the circumstances stated in Section 5.3;
  • If we terminate your account without cause and you have an active Subscription, you will receive a pro-rated refund for your unused paid period;
  • Any remaining Credits balance is handled in accordance with Section 5.8;
  • We will retain and delete your data as described in our Privacy Policy;
  • Sections 7, 8, 11, 12, 13, 16, and 17 of these Terms continue in effect after termination.

14.5 Appeal Process

If your account is suspended or terminated by us, you may submit a written appeal by email to [email protected] within 14 days of receiving notice of the action. Please include your account email address, a description of the circumstances, and any supporting information you wish us to consider.

We will review your appeal and respond within a reasonable time. Submitting an appeal does not automatically restore your account access during the review period. We are not obligated to restore accounts terminated for fraud, illegal conduct, or repeated serious policy violations.

Section 15. Modifications to These Terms

We may update these Terms at any time. Updates take effect when posted to capafy.ai. Continued use of the Platform after an update takes effect means you accept the updated Terms. If you do not agree, close your account as described in Section 14.2.

Section 16. Governing Law & Dispute Resolution

16.1 Governing Law

These Terms are governed by the laws of Singapore, without regard to conflict of law principles.

16.2 Informal Resolution First

Before starting any formal dispute process, contact us at [email protected]. We will try to resolve the issue within 30 days of receiving your notice.

16.3 Arbitration

If informal resolution doesn't work, the dispute will be finally settled by binding arbitration under the rules of the Singapore International Arbitration Centre (SIAC), seated in Singapore, in English. The award is final and binding.

16.4 Class Action Waiver

To the extent permitted by applicable law, you waive the right to participate in any class action lawsuit or class-wide arbitration against us.

16.5 Your Statutory Rights

Nothing in these Terms limits any mandatory rights you have under consumer protection laws in your jurisdiction. Specifically:

  • EU / EEA users: You may bring claims before the courts of your country of residence and may use any applicable national alternative-dispute-resolution or consumer redress mechanism.
  • UK users: Your statutory rights under UK consumer law are unaffected.
  • Australian users: Nothing here excludes rights under the Australian Consumer Law.

Section 17. General Provisions

17.1 Entire Agreement

These Terms (including all Schedules and our Privacy Policy) are the complete agreement between us regarding your use of the Platform and supersede all prior understandings.

17.2 Severability

If any provision is held invalid or unenforceable, it will be modified minimally to be enforceable; all other provisions remain in full force.

17.3 No Waiver

Our failure to enforce any provision is not a waiver of our right to do so in the future.

17.4 Assignment

You may not assign your rights or obligations without our prior written consent. We may assign these Terms to an affiliate or in connection with a business transaction, with notice to you.

17.5 Export Compliance

You must comply with all applicable export control laws and sanctions, including U.S. Export Administration Regulations (EAR). You confirm you are not in or a national of any sanctioned country, and not on any restricted-party list.

17.6 Force Majeure

We are not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, government actions, internet failures, or third-party service outages.

17.7 Language

These Terms are in English. If translated, the English version governs in any conflict.

17.8 Platform Records

In the event of any dispute concerning transactions, account activity, or access history on the Platform, our system records are the authoritative source. If there is a discrepancy between your own records and ours, our platform records will prevail, unless you can demonstrate a manifest error on our part.

17.9 Notices

How we notify you: We send notices to the email address registered to your account and, where applicable, through in-Platform notifications. An email notice is deemed delivered 24 hours after transmission to your registered address. You are responsible for keeping your registered email address current; if a notice is undeliverable because your address is outdated or incorrect, it is still deemed delivered and we bear no liability for the missed communication.

How you notify us: To send us a formal notice, use the contact details in Section 18. We do not accept formal notices through social media, public forums, or channels not listed in Section 18.
